These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Blackbird AI (Parent Company of Blackbird Close), including its subsidiaries and affiliates ("Blackbird Close," "we," "us," or "our"), governing your access to and use of the Blackbird Close website located at www.blackbirdclose.com (the "Site") and the software platform for real estate transaction management (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a real estate team or company, you represent that you have the authority to bind such entity to these Terms.
The Service is intended for use by real estate agents, realtors, realtor team leads, and real estate team owners. By using the Service, you represent and warrant that you are a licensed real estate professional or an authorized administrative member of a real estate team.
To access certain features, you must register for an account. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update such information; (c) keep your login credentials confidential and secure; and (d) promptly notify us if you suspect any unauthorized access to or use of your account. You are responsible for all activities that occur under your account, including actions by any authorized users on your team account.
You may not share your account credentials with any person who is not authorized to access the Service on your behalf, and you may not use the Service if you are prohibited from doing so under applicable law. We may refuse registration, cancel accounts, or limit access to the Service at our sole discretion, subject to applicable law.
Blackbird Close provides a software platform designed to assist real estate professionals with transaction management, workflow automation, and document organization. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
• Use the Service for any illegal purpose or in violation of any local, state, or federal real estate regulations, rules, or professional standards.
• Upload, transmit, or store any content that is unlawful, defamatory, infringing, harassing, or that violates the privacy or confidentiality rights of any third party.
• Introduce any viruses, malware, or other harmful code; attempt to gain unauthorized access to the Service, accounts, systems, or networks.
• Reverse engineer, decompile, disassemble, or attempt to derive or extract the source code or underlying structure of the Service.
• Copy, modify, create derivative works of, distribute, sell, resell, rent, lease, sublicense, or otherwise make the Service available to any third party without our express written consent.
• Use the Service to develop, train, or improve a competing product or service.
• Circumvent or attempt to circumvent any access restrictions, technical limitations, or security measures on the Service.
• Use the Service to send spam, marketing, or other unsolicited communications in violation of applicable law.
We may investigate and take any action we deem appropriate regarding suspected or actual violations of this Section, including suspension or termination of your access.
All rights, title, and interest in and to the Service, Site, and all related content and materials (including the software, user interfaces, designs, text, graphics, trademarks, logos, documentation, and proprietary tools) are and will remain the exclusive property of Blackbird AI and its licensors. Except as expressly stated in these Terms, no rights are granted to you.
Subject to your compliance with these Terms, Blackbird AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended professional purpose during the Term.
Any feedback, suggestions, or ideas you provide regarding the Service ("Feedback") is voluntary. You agree that Blackbird AI may use, incorporate, and exploit Feedback without restriction and without compensation to you.
Your use of the Service is also governed by our Privacy Policy. Blackbird Close maintains a strict policy regarding data: we do not sell, rent, or share your transaction data or personal information with any third parties, except as required by law or to facilitate the specific functions of the Service you have requested.
You retain all rights to the data, documents, and information you upload to the Service ("User Data"). You grant Blackbird Close a non-exclusive, royalty-free license to host, store, and process User Data solely for the purpose of providing the Service to you. You represent that you have the necessary rights and permissions to upload such data, particularly regarding client confidentiality.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BLACKBIRD CLOSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE OR THAT THE USE OF THE SERVICE WILL RESULT IN ANY SPECIFIC REAL ESTATE TRANSACTION OUTCOME.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKBIRD AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR RELATED TO: (A) YOUR ACCESS TO OR USE OF THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE; (C) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (D) ANY ERRORS, OMISSIONS, OR INTERRUPTIONS IN THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLACKBIRD AI'S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO BLACKBIRD AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID ANY AMOUNTS DURING THAT PERIOD.
You agree to indemnify and hold harmless Blackbird AI and its officers, directors, and employees from and against any claims, liabilities, damages, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights, including client privacy rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Clackamas County, Oregon (specifically the jurisdiction of Happy Valley, OR).
These Terms remain in effect while you access or use the Service.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms or if we reasonably determine that your use of the Service poses a security risk or may subject us to liability.
Upon termination: (a) your right to access and use the Service will cease; (b) sections that by their nature should survive will survive, including Sections 4, 7, 8, 9, and 10; and (c) we may delete or deactivate your account and User Data in accordance with our data retention practices and applicable law.
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on the Site. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
